ViewScore Member Agreement:

This agreement describes the legal framework in which you participate on ViewScore. This agreement also describes what your rights and responsibilities are and what you can expect from us.

Membership:
You may become a "Member" of ViewScore, which may grant you additional privileges, by completing the membership application form and clicking the "Continue" button indicating your agreement to be legally bound by the terms and conditions contained in this User Agreement. Becoming a Member allows you to post Content on ViewScore's site. You agree as a condition of use and membership that we may contact you for the purpose of informing you of changes to this Agreement or describing new services available on ViewScore.

Content:
You retain all ownership rights to content you publish on ViewScore (your "Content"). However, we can publish all or teaser portions of your Content online and offline and permit others to do the same. You can edit or remove Content from ViewScore at any time; but if we have distributed your Content to others, we may be unable to require them to make the same changes. We ask that you refer or provide links to ViewScore if you choose to republish your Content elsewhere and that you do not publish the same items of Content on both ViewScore and other product or price comparison sites.

If you believe content on ViewScore infringes your copyright, you can contact our agent for service of notice at ViewScore, Binyamin Metudela 17, Tel Aviv, 69548, info@viewscore.com. Please make sure your notice meets the Digital Millennium Copyright Act requirements.

Eroyalties:
If you are 18 or older, you may accrue Eroyalties. Regardless of your Eroyalties balance on the site, all Eroyalties are subject to our verification and approval. Among other reasons, we may disapprove Eroyalties if your account terminates or is suspended or if we suspect fraud. Thus, you should not consider Eroyalties "earned" until we have approved your redemption request for payment. All redemptions will need to comply with applicable redemption and validation policies (such as when you can redeem and how often, minimum redemption amount, any redemption fees and any geographical restrictions). Eroyalties are not transferable; we will issue checks only in the accountholder's name. We are not responsible for fraudulently redeemed Eroyalties if the redeemer presents your password. You are solely responsible for paying any taxes on your Eroyalties.

Termination:
You can cancel your account at any time by contacting Customer Support. We can cancel your account, or otherwise refuse service to you, at any time for any reason (including repeat infringement). ViewScore may choose to assume that you intended to terminate your account if you do not access it for more than 3 months. Following termination of your account for any reason (including inactivity), (1) at their sole option, ViewScore and its licensees may continue or stop publicly displaying some or all of your Content, and (2) all of your existing Eroyalties credits automatically expire, and no new credits will accrue.

Other Rules
You agree to comply with our site rules, which are incorporated into this agreement, and with all laws and regulations applicable to your access and use of ViewScore and publishing your Content. Unless we explicitly agree otherwise in writing, you may not use any automated means (such as scripts) to access ViewScore or collect information from it.

Indemnity:
By choosing to use ViewScore, you agree to indemnify ViewScore, its officers, agents, partners, and employees from any and all claims or damage, including reasonable attorney's fees, made by third parties due to, or arising out of Content you choose to submit, post or transmit through ViewScore; or if your use of or connection to ViewScore; your violation of the User Agreement; or, your violation of any rights of another.

Liability Limits:
WE AND OUR SUPPLIERS SHALL NOT BE LIABLE FOR ANY LOST PROFITS OR SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (HOWEVER ARISING, INCLUDING NEGLIGENCE) ARISING OUT OF OR IN CONNECTION WITH VIEWSCORE AND ITS PARENT, SUBSIDIARY OR AFFILIATE COMPANIES, OUR SERVICES OR THIS AGREEMENT.

Governing Law/Arbitration:
This agreement is governed by Israel law as such laws apply to agreements entered into and to be performed entirely within the state of Israel. Any claim arising out of or relating to this agreement or ViewScore shall be settled by binding arbitration in Tel-Aviv, Israel. Any such claim shall be arbitrated on an individual basis, not consolidated with another party's claim. Judgment on the arbitration award may be entered into any court with jurisdiction, and the arbitrator's award shall not be appealable or reviewable except as permitted by Israel law.

Integration:
This agreement supersede any other agreements or understandings (oral or written), between you and us with respect to their subject matters. We can amend this agreement either by emailing you about the amended terms, which take effect when we send you the email, or by displaying amended terms to you when you log in to ViewScore, which take effect when we post them. Otherwise, this agreement may be amended only by a writing physically signed by both us and you.

General:
VIEWSCORE AND ITS SERVICES ARE PROVIDED "AS IS." We do not promise or warrant that any aspect of the site or system will work properly or will be continuously available. This agreement does not create any agency, partnership, JV, employment or franchise relationship. Because you are not an employee, minimum wage laws do not apply to your relationship with ViewScore. Any unenforceable portion of this agreement shall be enforced to the maximum extent possible and the remaining portions shall be given full effect. Our failure to act in a particular circumstance does not waive our right to act with respect to that or other circumstances. We shall be excused for any problem due to a factor beyond our control. Our suppliers are third-party beneficiaries of this agreement.
